Terms of Use

These terms govern access to and use of Caliente AI websites, applications, software, products, and services.

These Terms of Use are an agreement between you and Caliente AI (“Caliente AI,” “we,” “our,” or “us”). “Services” means our website, applications, software, documentation, and related products and services.

By creating an account, accepting an order form that refers to these Terms, or using the Services, you agree to these Terms. Our handling of personal information is described in our Privacy Policy.

1. Who may use the Services

The Services are intended for business use by adults. You must be at least 18 years old and legally able to enter into a binding agreement. If you use the Services for a company or other organization, you represent that you have authority to accept these Terms for that organization.

You may use the Services only in compliance with applicable law and these Terms.

2. The Services

Caliente AI provides AI-assisted software for construction takeoff and related preconstruction work. Features may allow you to submit drawings and instructions, review measurements and other results, and write approved work into supported third-party tools.

We may improve, change, add, or remove features over time. We do not promise that every feature or third-party integration will always be available. Any specific service levels, support commitments, implementation work, or professional services must be stated in an order form or other written agreement.

3. Accounts and authorized users

You are responsible for providing accurate account information, keeping login credentials secure, and all activity performed through your account. You may not share credentials or allow access by anyone who is not authorized to use your account.

Tell us promptly if you believe an account has been compromised or used without authorization. We may request reasonable information to verify an account, investigate misuse, or protect the Services and their users.

4. Your content

“Customer Content” means drawings, files, messages, instructions, data, measurements, configurations, and other material that you or your users submit to the Services.

You retain your rights in Customer Content. You give Caliente AI a limited, non-exclusive right to host, copy, transmit, process, and display Customer Content only as reasonably needed to provide, secure, maintain, and support the Services, comply with law, and enforce these Terms.

You represent that you have the rights and permissions needed to submit Customer Content and allow us to process it. Do not submit drawings, project records, or other information that you are not authorized to use or disclose.

5. AI features and output

The Services use artificial intelligence and other software to produce measurements, markups, quantities, classifications, suggestions, and other results (“Output”) from Customer Content and your instructions.

AI-assisted Output may be incomplete, inaccurate, or unsuitable for a particular project. Similar inputs may produce different results, and Output may not be unique. The Services do not replace the professional judgment of an estimator, contractor, architect, engineer, or other qualified professional.

You are responsible for reviewing and verifying Output before using it in a bid, estimate, purchase, construction decision, contract, or other professional work. You remain responsible for the scope, quantities, pricing, and decisions you approve or submit.

6. Acceptable use

You may not use the Services to:

  • Break the law or violate another person’s rights.
  • Submit content you do not have permission to use.
  • Distribute malware or other harmful code.
  • Interfere with, overload, disrupt, or bypass the security of the Services.
  • Gain unauthorized access to accounts, systems, or data.
  • Copy, resell, sublicense, rent, or provide the Services to others unless a written agreement allows it.
  • Reverse engineer or attempt to discover source code or underlying components, except where applicable law does not allow this restriction.
  • Use automated means to scrape the Services, or use the Services or Output to develop or train a competing product or model.
  • Misrepresent Output as independently verified when it has not been reviewed.

7. Third-party products and services

The Services may connect to or operate with products and services provided by third parties. Your use of those products and services is governed by your agreement with the relevant provider. We do not control third-party products and are not responsible for their availability, security, functionality, or changes.

When you enable or direct a connection, you authorize us to exchange Customer Content and related information with that third-party product. You are responsible for maintaining the accounts, licenses, and permissions required for the connection.

8. Ownership

Caliente AI and its licensors retain all rights in the Services, including the software, interfaces, designs, documentation, models, workflows, and related intellectual property. These Terms give you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes while these Terms apply.

If you provide feedback or suggestions, you allow us to use them without restriction or payment. This does not give us ownership of your Customer Content or confidential project information included with the feedback.

9. Confidentiality

Each party may receive non-public information from the other that a reasonable person would understand to be confidential. The receiving party will use that information only to provide or receive the Services and will protect it using reasonable care. It may be shared with people and service providers who need it for that purpose and are subject to confidentiality obligations.

Confidential information does not include information that becomes public without a breach of these Terms, was already lawfully known without a duty of confidentiality, is received lawfully from another source, or is independently developed without using the confidential information.

11. Beta and evaluation features

We may identify features as beta, pilot, preview, evaluation, or otherwise not ready for general release. You choose whether to use them. They may be changed or discontinued at any time and may be less reliable than generally available features. Unless a written agreement says otherwise, they are provided as available and without service levels or support commitments.

12. Suspension and termination

You may stop using the Services at any time. The applicable order form controls how a paid subscription may be ended.

We may suspend or limit access if we reasonably believe your use violates these Terms, creates a security risk, could harm the Services or another person, or is required by law. Where practical, we will try to provide notice and an opportunity to correct the issue.

Provisions that by their nature should continue after termination will survive, including ownership, confidentiality, disclaimers, liability limitations, and general legal terms.

13. Disclaimers

To the maximum extent permitted by law, the Services and Output are provided “as is” and “as available.” Caliente AI disclaims warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that Output will be accurate, complete, or suitable for a particular bid, project, or purpose. You are responsible for verifying Output and maintaining appropriate backups, review procedures, and professional controls.

14. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for lost profits, revenue, goodwill, or data, or for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Services or these Terms, even if advised that those damages were possible.

To the maximum extent permitted by law, Caliente AI’s total liability arising from the Services or these Terms will not exceed the amount you paid for the Services during the 12 months before the event giving rise to the claim, or US $100 if you used the Services without charge.

15. Changes to these Terms

We may update these Terms from time to time. We will post the revised version and update the date above. If a change materially affects your rights or obligations, we will provide additional notice where required. Changes do not modify an active signed agreement unless that agreement allows them to.

16. General terms

You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, corporate reorganization, or sale of the relevant business or assets.

Neither party is liable for delay or failure caused by events beyond its reasonable control. If part of these Terms is found unenforceable, the remaining parts will continue in effect. A failure to enforce a provision is not a waiver.

These Terms, together with any applicable order form and incorporated policies, are the entire agreement about the Services. If you have a separate written agreement with us covering the Services, that agreement controls to the extent it conflicts with these Terms.
